are verbal agreements legally binding in Spain

 My husband and I are in partnership with another couple. We have set up an SL company and lease a bar. The relationship has broken down and the other partners agreed verbally to return our initial investment over a three month period in front of a Asesoria - Gestoria, who had the Notary make up the necessary documents. The other partners have since renaged on this agreement and refuse to sign the documents. They have come back with a much lower offer which we can not accept and so have said they are closing down the company, can they do this without our concent and is the verbal agreement, in front of a witness (the asesoria-Gestoria) legally binding?
